By accessing or using ZenoxPay services, websites, APIs, or dashboards (collectively, the “Services”), you agree to be bound by these Terms of Service and any additional policies referenced here.

If you are using the Services on behalf of a company or other entity, you represent that you have authority to bind that entity to these terms.

2. Services and eligibility

ZenoxPay provides payment processing, settlement, and related tools for merchants and partners. To use the Services, you must be eligible to enter into a binding contract and comply with applicable laws and network rules.

We may require onboarding information (including business, bank, and compliance details) and may approve, decline, or limit access at our discretion.

3. Account responsibilities

You are responsible for safeguarding account credentials and ensuring that users you authorize comply with these terms. You must promptly notify us of any unauthorized access or security incident.

You agree to provide accurate, complete, and current information and to keep it updated.

4. Fees, taxes, and settlement

Fees, pricing, and settlement schedules are defined in your commercial agreement or order form. You are responsible for applicable taxes, duties, or assessments related to your use of the Services.

Settlement timing depends on banking partners, network rules, and compliance checks. We may delay settlement where required by law, risk, or operational controls.

5. Refunds and disputes

Refunds are governed by your agreement with ZenoxPay and the Refund Policy. You are responsible for your own customer policies and communications.

Chargebacks or dispute workflows (if applicable) must follow network and regulatory rules. We may place reserves or adjust settlements to cover potential liabilities.

6. Prohibited use

You must not use the Services for unlawful activity, fraud, money laundering, sanctions violations, or to process payments for prohibited or restricted goods and services.

You must not attempt to bypass security controls, probe the system, or interfere with service availability.

7. Intellectual property

ZenoxPay and its licensors retain all rights in the Services, including software, documentation, and branding. You receive a limited, non-exclusive, non-transferable right to use the Services during your subscription or agreement term.

8. Confidentiality and privacy

We may exchange confidential information in connection with the Services. Each party agrees to protect the other party’s confidential information using reasonable care.

Our collection and use of personal data is described in the Privacy Policy.

9. Warranties and disclaimers

The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, ZenoxPay disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee uninterrupted or error-free operation, or that the Services will meet your specific requirements.

10. Limitation of liability

To the fullest extent permitted by law, ZenoxPay will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill.

ZenoxPay’s aggregate liability for any claim related to the Services will not exceed the fees paid by you to ZenoxPay for the Services during the twelve months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold ZenoxPay harmless from claims, damages, losses, and expenses arising from your use of the Services, your breach of these terms, or your violation of applicable laws or third-party rights.

12. Suspension and termination

We may suspend or terminate access to the Services if required by law, to protect security, or for material breach of these terms or your agreement.

Upon termination, your access to the Services ends, and any outstanding obligations (including payment obligations) remain in effect.

13. Changes to the terms

We may update these terms from time to time. If changes are material, we will provide reasonable notice. Continued use of the Services after the effective date of changes constitutes acceptance.

14. Governing law

These terms are governed by the laws of the jurisdiction where ZenoxPay is established, without regard to conflict-of-law rules. Any disputes will be resolved in the courts of that jurisdiction, unless your agreement specifies otherwise.
